These Terms of Service ("Terms") govern access to and use of Arvo Desking (the "Service"), operated by Mushik LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the business you represent ("you" or "your").
Arvo Desking is deal-desking software for independent auto brokers and dealers. It helps you build lease, finance, and cash quotes; track a sales pipeline; manage client and dealer records; and calculate commissions. It is a tool to support your business — it is not a lender, broker, or dealer itself, and it does not participate in or guarantee the outcome of any vehicle transaction.
Money factors, residual values, rebates, tax rates, and other figures you enter or configure in the Service are supplied by you or your team. We do not independently verify this data. You are solely responsible for confirming that any quote, payment, or figure shown to a client matches the actual terms offered by the relevant lender or dealer before relying on it in a real transaction.
You may enter personal information about your own clients into the Service — including names, contact details, income, date of birth, address, and credit information — in order to build and manage deals. You are the data controller for that information: you're responsible for having a lawful basis to collect it, for telling your clients how it will be used, and for complying with applicable consumer protection and data privacy laws in your jurisdiction. See our Privacy Policy for how we, in turn, handle data stored in the Service.
Paid plans are billed as described at the time of signup. Fees are non-refundable except where required by law. We may change pricing on a going-forward basis with reasonable notice.
You agree not to: use the Service for any unlawful purpose; attempt to access another account or data you're not authorized to see; interfere with or disrupt the Service's operation; or reverse-engineer, scrape, or resell the Service without our written permission.
The Service may integrate with third-party data providers (for example, vehicle inventory, incentive, or residual-value data services) and third-party sign-in or communication tools. We aren't responsible for the accuracy, availability, or practices of third-party services, which are governed by their own terms.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT CALCULATIONS, TAX ESTIMATES, OR OTHER OUTPUTS ARE ERROR-FREE OR SUITABLE FOR ANY SPECIFIC DEAL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUSHIK LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION YOU STRUCTURE USING IT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM AROSE.
You may stop using the Service and cancel your account at any time. We may suspend or terminate access if you violate these Terms or if we discontinue the Service, with notice where reasonably possible.
We may update these Terms from time to time. Continued use of the Service after an update means you accept the revised Terms.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, unless applicable law requires otherwise.
